The terms and conditions set out below apply to your purchase of the monthly rolling membership, “Honest Business Advisory™” offered by May James Ltd. Please read them carefully as they affect your rights and liabilities under law and set out the terms under which May (“I”, “me” or “my”) provide services to you, as purchaser of the Honest Business Advisory™. These terms are subject to any rights you have under consumer law to which I am bound to and which cannot be waived. By purchasing this product, you are agreeing to the terms within this agreement.

Membership Outline
Honest Business Advisory™ is a monthly rolling membership with live group advisory calls which uses key business strategy to help you plan and grow your business. It is an strategic advisory service for female business owners. The membership begins on the 6th of January 2025 and is ongoing.

Membership Specifics
Following successful purchase of the membership you will receive access to live monthly group coaching sessions. You will then have the opportunity to work through any material in your own time. The membership provides space to help you set intentions for your future and get expert advice to your business questions.

The content shared in this membership has been tried and tested by individuals who are over the age of 18 and from various different backgrounds. In working through the material, they have been able to scale their business sustainably. For best results you will need to show up to the live calls.

It is not possible to provide any guarantees that you will experience any specific results. Failure to engage with the group calls will limit your ability to benefit from the information provided and will significantly limit any results. It is not intended that you will finish the membership with a specific outcome. It is your individual responsibility to apply what is shared and taught in the membership to your personal circumstances both during the membership and afterwards.

Each individual is unique and their starting position and commitment to the course is unique to them. The aim is that by engaging with the membership you will have support and things to explore in your business and have taken action towards growing your business. If you do not engage in the materials or take action and the work, it is unlikely that you will see progress. May James Ltd is not responsible for any outcomes, it is the individual's responsibility.

Please be aware that the membership is delivered entirely in English and no translations are provided for videos or text.

No 1:1 time or support with May is included in Honest Business Advisory™, this is a 100% group experience. Should you want to engage in further support, please explore other options that are available.

Overview of the membership
Honest Business Advisory™ coaching membership is an ongoing online group membership which provides monthly business support.

Membership Specifics
Throughout the membership you will learn how to plan your business in a sustainable way.
There are 3 elements to the membership:
i) Monthly Group Planning Workshop & Q&A Session
iii) Monthly Group Advisory Calls
iv) Monthly Planning & Reflection Spreadsheet

All sessions within the membership will be housed in a shared online calendar for easy access. It is recommended you use / create a google account to make your experience as smooth as possible.

Monthly Planning Workshop & Q&A Session
Monthly Session will take place monthly (one call) online via Zoom calls. Unless there are unforeseen circumstances, the workshops will take place at the same time each month which will be communicated via email upon the start of the membership. The facilitator of the workshops does not exclusively have to be May and may change at any point without notice.

Monthly Group Advisory Calls
These Sessions will take place online via Zoom calls. The times and dates of these calls may change every month and may be facilitate by a selection of different professionals who have been selected by May James Ltd.

Monthly Planning & Reflection Spreadsheet
This spreadsheet is owned by May James Ltd and is given for you to use solely for yourself and nothing else. It cannot be re-sold or re-distributed.It will be made available via Google sheets which will be your responsibility to make a copy and complete throughout the year. May James Ltd is not connected to Google or Google Sheets in any way.

Replays
Monthly planning workshops will be recorded and uploaded to a space for participants to log in and review - access to this is for the duration of the membership. Not all calls within the membership will be recorded. There is no lifetime access to the replays. Replays may be removed on a 3 month rolling basis, others may stay for longer.

Behaviour
It is requested that at all times your behaviour towards others is polite and respectful - May James Ltd will not be held responsible for the behaviour or actions of any other membership participants. Should your behaviour be deemed offensive, non constructive or inappropriate May James Ltd reserve the right to remove you from the membership with immediate effect, you will still be liable and required to pay the full membership amount. Bullying or discriminatory behaviour is not allowed and will not be tolerated in any form. May James Ltd reserves the right to remove any students from the membership at any point following unacceptable behaviour without explanation or receiving any refund.

General
It is the intention that the membership will run continuously. There will be summer & winter breaks built into the membership schedule, not all calls will run every single month. Call times can be changed without notice. Reasonable breaks will be built into the agenda over the course of the year, this will be communicated to you.

Payment Terms
The cost of the membership is a monthly payment of £100 (+ VAT if applicable) for a minimum term of 3 months. Alternatively a one off yearly payment is available at a discounted rate of £900, which will be billed annually. However, during any promotional period the price may change at any point.

All purchases are final. (Please see below for details about refunds). After the first 3 months of membership and any reengagement of membership status - there is a 3 month minimum membership period.

For example: should you wish to leave the membership after just one month, you will still owe 2 months membership payment.

Example 2: should you have previously been a member and decide to join us again, at the point of reengaging - your minimum 3 month term will begin again.

All payments will be automatically taken from your bank account on a monthly basis for the chosen duration. Delayed or failed payments will face a one off initial late payment fee charge of £50 to your account plus a late payment daily fee of 8% above the Bank Of England's base rate after a 2 day grace period which will accrue and be charged on top of the existing payment until paid.

In the event a client’s account is beyond 30 days of being overdue May James Ltd is entitled to instruct a collections agent or solicitor to seek recovery of the Fee along with any interest and any costs incurred from this process. Membership access to deliverables will also be revoked.

Ending your Membership
Should you wish to leave the membership please email support@mayjames.com with 30 days notice. At the point in which your membership is complete, your access will be revoked from all portals / resources.

Privacy and Confidentiality
Confidentiality: Parties will treat and hold all information of or relating to this Agreement, the Services provided, and the Parties’ businesses in strict confidence and will not use any of this information except in connection with fulfilling the terms of this Agreement, and, if this Agreement is terminated for whatever reason, Parties will return all such information, including account access information, and any and all copies to the original Party and will remain bound to the Confidentiality provision of this Agreement. Client understands that they will be exposed to other Parties’ confidential business information and agreed to not disclose any of the information outside of the membership calls, with other Parties or communicate about it.

Confidential information (known as “Confidential Information” in this Agreement) means information that is of value to its owner and is treated as proprietary or confidential including, but not limited to, intellectual property, inventions, trade secrets or information, financial data or information, speculation, knowledge, general Company data or reports, future business plans, strategies, customer lists and information, client acquisition strategies, advertising campaigns, information regarding executives and employees, emotional or personal information shared during the Services, or the terms and provisions of this Agreement. 

Further, at all times neither Party shall use or disclose any Confidential Information relating in any way to the past, present, or future business affairs, conditions, clients, customers, efforts, employees, financial data, operations, practices, products, processes, properties, sales, emotional or personal information, or services of or relating in any way to the Parties in whatever form to any parties outside of this Agreement.

Your privacy and protection of your personal data is important to May James Ltd. The business will keep your personal data confidential and will never share it with unconnected third parties. Your payment information will be processed by a secure third-party processor.

For more detail on how we manage your data you can view our privacy policy via our website. If you choose to join any community / group your name and any details associated with your profile may be visible to other group members it is your responsibility to manage that accordingly. Any comments made within the group, on social media or the zoom calls can be used as promotional material to share progress or results - if you wish for your comments or text to not be used please email support@mayjames.com with PRIVACY in the subject line.

Similarly some group calls will be recorded and stored for others to access, potentially long after you leave the membership, any of these calls may be used in marketing promotions in the future. By joining Honest Business Advisory™ you are agreeing to join the May James Ltd mailing list - you are able to unsubscribe by emailing support@mayjames.com.

Refunds and Cancellation
As you are purchasing digital content which includes data which is produced and supplied in digital form you are only entitled to a refund in extremely limited circumstances. In purchasing the membership, you are waiving your rights to a refund. No refunds will be given after purchase. Cancellation is not possible and full payment will be required.

Intellectual Property
You may be provided with resources (such as the spreadsheet). At all times, even following purchase, the intellectual property rights and copyright connected with those materials remain with May James Ltd. You have the right to use the materials as learning tools but you are not permitted to duplicate, imitate or provide copies to third parties whether for free or as part of a sale. You do not have the right or own any of the material you receive.

Non-Exclusivity
The Parties expressly acknowledge that this Agreement does not create an exclusive relationship between the Parties. Client is free to engage others to perform services of the same or similar nature to those provided by the Company, and the Company shall be entitled to offer and provide services to other clients, and otherwise advertise the services offered by the Company. However, nothing in this paragraph should be construed to release Client from its payment obligations to the Company.

Waiver of Liability: Client voluntarily signs this waiver in favour of Company in consideration for Honest Business Advisory™ membership. Having readthis waiver, Client acknowledges that for herself/himself, Client’s heirs, executors, administrators, representatives, or anyone else who might claim on Client’s behalf, hereby waives, releases and discharges Company and its officers and directors, staff, employees, agents and volunteers from and against any blame and liability for any injury, harm, loss, inconvenience, or any other damage of any kind whatsoever, which may result from or be connected in any way to Client’s participating in the Program, and Client agrees to hold them harmless from any such claim(s).

In addition to the absolute and unqualified release from all liability, Client hereby represents that Client will conduct herself/himself in a safe and prudent manner while participating in the Program. Company reserves the right to cancel an activity or release a participant if it feels the participant’s conduct is inappropriate or disruptive to not only the host but to any other members of the program and/or staff / team members. Client is aware that by signing this, Client is waiving certain legal rights, including the right to sue Company or its officers and directors, staff, employees, agents and volunteers.

Maximum Damages: Client agrees that the maximum amount of damages he or she is entitled to in any claim relating to this Agreement or Services provided in this Agreement are not to exceed the Total Cost of Services provided by Company in this specific agreement. 

Indemnification: Client agrees to indemnify and hold harmless Company, its related companies, parties, affiliates, agents, independent contractors, assigns, directors, employees and officers from any and all claims, causes of action, damages or other losses arising out of, or related to, the Services provided in this Agreement, including all actions, causes of action, injuries, claims, negligence, costs or expenses, arising out of or related to Client’s participation in Services and any related activities.

Disclaimer: Client agrees and understands Company is not providing the professional services of an attorney, accountant, nutritionist, financial planner, therapist or any other kind of licensed or certified professional. Should Client desire professional services that exceed the scope of this Agreement, Client must sign a letter of engagement of said professional services with the appropriate service provider. No legal, financial, accounting, nutritional or other kind of professional advice will be given without entering into such a relationship via the letter of engagement referenced immediately above. 

Feedback and Complaints
If you have any feedback about the membership please do share it with us. It is always great to receive words of praise and also helpful to get constructive comments. I really hope that you love this membership but if you would like to make a complaint this should be made in writing to support@mayjames.com in which if applicable you will receive a response within 20 business days.

General
I intend to rely on the written terms set out in these terms and conditions in respect of the membership delivered to you. These written terms shall constitute the entire agreement between us. If any provision or part-provision of these terms and conditions is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any such modification or deletion shall not affect the validity and enforceability of the rest of these terms and conditions.

These Terms are governed by the laws of England & Wales. The Courts of England & Wales have exclusive jurisdiction over any matter and proceedings arising out of your purchase of the membership.
